About the (Im)Possibility of Applying the Efficient Breach Doctrine on Agricultural Commodities Futures Contracts

Abstract

The aim of this article is to discuss the possibility of applying the efficient breach theory to agricultural commodities futures contracts. Therefore, at first, a quick approach is made to the most relevant elements of this type of contract, which have a very particular regulation. Next are presented the general characteristics of the refereed theory, originated in the scope of the "Economic Analysis of Law", a school of thought that preaches the importance of using economic concepts for a better understanding of Law and to the decision making. Further on, it is discussed whether such theory is reconcilable with the rules (both material and procedural) of the Brazilian Law of Obligations. In the end, it is presented a conclusion regarding the feasibility of applying said theory to such contracts.
